Material Connections LLC provides compliance and risk advisory services for financial technology companies, payment facilitators, cryptocurrency platforms, and other regulated businesses. Specific client services are governed by separate written engagement agreements.
3. Website Use
You agree to use the Site only for lawful purposes and not to interfere with its operation, attempt unauthorized access, impersonate others, or use automated means to collect information in violation of applicable law.
4. Intellectual Property
The Site and its contents, features, and functionality are owned by Material Connections LLC or its licensors and are protected by applicable intellectual-property laws. You may not reproduce, distribute, modify, publicly display, or commercially exploit Site content without prior written consent, except for reasonable personal, non-commercial use.

TO THE FULLEST EXTENT PERMITTED BY LAW, MATERIAL CONNECTIONS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE. Our aggregate liability for Site-related claims will not exceed the amount, if any, you paid to access the Site during the preceding twelve months.

8. Client Engagements
These Terms do not create a client relationship. A client relationship is established only through a separate written engagement agreement.
9. Confidentiality
We treat information submitted through our contact form or initial consultations as confidential, subject to our Privacy Policy and applicable law. Internet communications may not be completely secure, so sensitive matters should be discussed directly with our team.
10. SMS Communications
When you affirmatively select the separate, optional SMS consent checkbox on our contact form, you agree to receive customer-service text messages from Material Connections LLC concerning your inquiry, consultation scheduling, and related follow-up. Message frequency varies. Message and data rates may apply. Consent to receive text messages is not a condition of purchasing services.
Reply STOP to unsubscribe from future text messages. Reply HELP for assistance or contact info@materialconnections.com. We may send a final confirmation after an opt-out request. Opting out of SMS does not prevent you from contacting us or receiving non-SMS communications related to your inquiry through other channels.
11. Indemnification
You agree to defend, indemnify, and hold harmless Material Connections LLC and its officers, directors, employees, and agents from claims, damages, losses, liabilities, and expenses arising from your unlawful use of the Site, violation of these Terms, or violation of third-party rights.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Disputes will be subject to the jurisdiction of the state and federal courts located in Delaware.
13. Dispute Resolution
The parties will first attempt to resolve disputes through good-faith negotiation. If a dispute remains unresolved after thirty days, either party may seek relief in the courts identified above.
14. Severability and Waiver
If any provision is invalid or unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver of that provision or any other right.
15. Changes to Terms
We may revise these Terms from time to time. The revised Terms will be posted on this page with an updated date.
16. Entire Agreement
These Terms and our Privacy Policy constitute the agreement governing your use of the Site, except where a separate written agreement applies.
